Terms of Service

I. THE AGREEMENT

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and Riskfend Ltd ("Riskfend", "we", "us", "our"), a company registered in the United Kingdom. By creating an account, accessing our website (riskfend.com), or using our .NET Backend Services and Windows Desktop Client Application (collectively, the "Service"), you agree to be bound by these Terms.

B2B EXCLUSION: The Service is intended for business and professional use only. It is not directed at consumers. By using the Service, you represent that you are acting for purposes relating to your trade, business, craft, or profession.

If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms.

II. THE SERVICE

Riskfend provides an operational risk scanning solution that allows users to record and analyze software and vendor dependencies.

• Local Data Control: You acknowledge that dependency risk data is primarily stored locally on your device (typically in %AppData%\Riskfend\). Riskfend does not have access to this data unless you explicitly transmit it to our servers for processing (e.g., for AI Guidance).
• AI-Assisted Guidance: The Service includes features that utilize third-party Artificial Intelligence (AI) to generate risk mitigations and "what-if" scenarios.
• Service Notifications: By using the Service, you acknowledge that we may send you important administrative and operational notifications, such as security alerts, system outage notices, and critical application updates. These communications are considered part of the Service and are distinct from optional marketing emails.

III. ACCOUNTS & SECURITY

• Magic Link Authentication: Access to the Service is managed via Magic Links sent to your registered email address.
• Security Measures: Riskfend implements commercially reasonable security measures consistent with industry standards to protect your account metadata and transmission sessions.
• User Responsibility: You are responsible for maintaining the security of your email account. Riskfend is not liable for unauthorized access resulting from compromised email credentials on the user side.

X. GOVERNING LAW

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

XI. FORCE MAJEURE

Riskfend shall not be liable for any failure or delay due to circumstances beyond its reasonable control, including service outages from third-party AI or infrastructure providers.

XII. DATA PROCESSING ADDENDUM (DPA)

Where Riskfend processes Personal Data on behalf of the User, the Data Processing Addendum is hereby incorporated by reference into these Terms.

XIII. USER REPRESENTATIONS

You represent and warrant that your use of the Service complies with all applicable laws and regulations, including data protection, export control, and industry-specific compliance obligations.

XIV. EXPORT CONTROL

The Service may be subject to UK, US, or international export control laws. You agree not to use the Service in violation of applicable sanctions or export restrictions.

XVI. SEVERABILITY & SURVIVAL

If any provision of these Terms is held invalid, the remaining provisions will continue in full force.

Provisions regarding Intellectual Property, Liability, and Indemnification shall survive termination of these Terms.

XVII. AI TRANSPARENCY

AI outputs are probabilistic, may change over time, and are influenced by third-party models. Riskfend does not guarantee deterministic results.

XVIII. ASSIGNMENT

Riskfend may assign or transfer its rights and obligations under these Terms at any time without notice to you, including as part of a merger, acquisition, or sale of assets.

XIX. CHANGES TO TERMS

We may update these Terms from time to time. Material changes will be notified via email or in-app notification.
